I think they're arguing that he was a 'shareholder' but wasn't active in any decisions, discussions etc. and the shareholder thing was in name only.

That's the important bit, because Bain got involved with a refuse company that 'took care of' aborted fetuses post-Rom-meister. He needs to be able to say he had no knowledge about that, while his name was still on the paperwork.
